Subscriber Agreement

1. GRANT - With a paid subscription, ValueLink, Inc. hereby grants you a non-exclusive, one-year license for your personal use to use the proprietary information and web sites found at www.govauctionlists.com, members.govauctionlists.com and any all future related sites that may be offered to you, the Subscriber (additional, optional subscription fees may apply to new site offerings). You may not share your subscription with anyone. It is for your use only. Subscriber may not publish, transfer, sell or otherwise use GovAuctionLists.com data, or any portion of such data, in any form or by any means except (a) as expressly permitted by this agreement, or (b) with ValueLink's prior written permission. Subscriber shall not sell, license or distribute data in any form to third parties or use data as a component or as a basis for any material offered for sale, license or distribution.  Subscriber must keep strictly confidential the password and other proprietary access to the site as issued to it by ValueLink. Subscriber' password must remain within its sole possession and control at all times and may not be communicated in any manner or form to any party not authorized by ValueLink to have access to and use such pass identification number. Except for the license granted by this agreement, all right, title and interest in GovAuctionLists data, in all languages, formats and media throughout the world, including all copyrights, are and will continue to be the exclusive property of ValueLink, Inc.
2. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY. GovAuctionLists data is provided "as is", without warranty of any kind, express or implied, including, but not limited to, the warranties of performance, merchantability and fitness for a particular purpose. ValueLink shall have no liability whatsoever to subscriber for any claim(s) relating in any way to this agreement or their performance hereunder, regardless of the form of action, whether based in contract or negligence. In no event shall ValueLink be liable to subscriber for any claim(s) relating to licensee's inability or failure to perform research or related work or to perform such research or other work properly or completely. Nor shall ValueLink be liable for any lost profits or other consequential, exemplary, incidental, indirect or special damages, even if advised of the possibility of such damages.
3. RESERVATION OF RIGHTS-ValueLink reserves the right to modify the terms and conditions of this Agreement from time to time. Such modifications shall be effective immediately upon written notice to Account Subscriber.
4. SUBSCRIPTIONS - Subscriptions are offered on an annual basis. We will automatically renew your subscription each year on the anniversary of your subscription, unless you notify us, by using the 'Cancel subscription' functionality that you no longer wish to maintain your subscription. You are free to cancel your subscription at any time, but please note that once you cancel your subscription, access to the site will be terminated immediately, so do not cancel your subscription until you are no longer wanting access to the members only section of the site. We will attempt to reach you via email to remind you of your subscription anniversary, but due to technical limitations of email, we cannot guarantee we will be able to reach you via email prior to the renewal of your subscription.
5. SHARING PROHIBITED - You agree that you will NOT SHARE your subscription, password, or other propriatary access to the site with anyone. Additional subscriptions must be purchased if you desire to give multiple people access to the members section of the web site.
6. SUBSCRIPTION TERMS - Once you purchase a subscription it is non-refundable for any reason. A subscription grants you access to the content of your subscription and it is not possible to grant requests for refunds. Thank you for your understanding and we are confident that the powerful information in this site will give you access to thousands of assets for sale or auction by the Government.
7. EFFECT OF AGREEMENT-This Agreement embodies the entire agreement between the parties with respect to the subject matter hereof and supersedes any and all prior understandings and agreements, oral or written, relating thereto. ValueLink, may amend the terms and conditions of this Agreement by giving licensee written notice thereof. Any other amendment hereto must be in writing and signed by both parties.
8. NOTICES-All notices shall be delivered in writing to ValueLink, Inc. 106 N. Denton Tap Rd, Suite 210-284, Coppell, TX 75019.
9. GOVERNING LAW-This Agreement shall be governed by and construed under the laws of the State of Texas.
10. INDEMNITY - You agree to Indemnify and hold harmless, ValueLink, Inc. and its employees.
